1. Agreement to These Terms

These Terms of Service (the “Terms”) constitute a legally binding agreement between you and PngHeaven, including its owners, operators, affiliates, successors, and assigns (“PngHeaven,” “we,” “us,” or “our”).

These Terms govern your access to and use of pngheaven.com, any related websites, accounts, applications, services, digital products, downloadable files, subscriptions, and content made available by PngHeaven collectively, the “Services.”

By accessing the Services, creating an account, purchasing a product, beginning a download, or otherwise using any PngHeaven asset, you acknowledge that you have read, understood, and agreed to these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Services. If you use the Services on behalf of a company, agency, client, or other organization, you represent that you have authority to bind that entity to these Terms.

2. Eligibility

You must be legally capable of entering into a binding contract under the laws applicable to you. If you are under the age of legal majority in your jurisdiction, you may use the Services only with the permission and supervision of a parent or legal guardian.

You may not use the Services if your access has previously been suspended or terminated, or if your use would violate applicable law, sanctions, export controls, or other legal restrictions.

3. Definitions

  • “Asset” means any PNG image, illustration, graphic, vector, template, design element, bundle, source file, preview, or other digital content made available through the Services.
  • “End Product” means a finished project created using an Asset in which the Asset has been incorporated into a larger original design and is not reasonably extractable or usable as a standalone file.
  • “Raw File” means an Asset in its original, substantially similar, isolated, editable, downloadable, or reusable form.
  • “License” means the limited permission granted under these Terms to use an Asset. Purchasing or downloading an Asset does not transfer copyright or ownership.
  • “Seat” means one individual authorized to access, download, and use Assets through an account or license.

4. Ownership and Intellectual Property

The Services and all Assets are owned by, commissioned by, or validly licensed to PngHeaven and are protected by copyright, trademark, design, unfair competition, and other intellectual property laws.

Except for the limited License expressly granted under these Terms, no right, title, ownership interest, copyright, trademark right, or other intellectual property right is transferred to you.

All rights not expressly granted are reserved by PngHeaven and the applicable rights holders.

5. Standard Digital Asset License

Subject to full payment and continued compliance with these Terms, PngHeaven grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable, worldwide license to download and use the purchased or lawfully obtained Assets for permitted personal and commercial projects.

5.1 Permitted Uses

Unless a product page or separate license states otherwise, you may use Assets in:

  • websites, mobile applications, software interfaces, presentations, and digital publications;
  • social media posts, online advertisements, email campaigns, and marketing materials;
  • printed advertisements, brochures, posters, packaging, editorial materials, and business stationery;
  • videos, broadcasts, streaming content, animations, and multimedia productions;
  • client projects, provided the Asset is incorporated into a completed End Product and the client receives no right to extract, reuse, distribute, or independently license the Raw File;
  • physical merchandise and print-on-demand products only where the Asset is materially combined with original design elements and is not the primary or sole source of value of the product;
  • internal business documents, prototypes, mockups, educational projects, and personal creative works.

5.2 One License, One User

Unless a team, enterprise, or multi-seat license has been purchased, each License is issued to one individual user. Account credentials, download access, and Raw Files may not be shared with coworkers, contractors, clients, friends, or any other person.

A contractor may access an Asset only if the contractor holds a separate valid License or is expressly covered by a written multi-seat or enterprise agreement.

5.3 Client Work

You may create an End Product for a client. You may transfer ownership of the completed End Product to that client, but you may not transfer the underlying License or provide the Raw File separately.

If the client requires ongoing access to, editing of, or independent reuse of the Asset, the client must obtain its own License.

6. Prohibited Uses

You may not, directly or indirectly:

  • sell, resell, license, sublicense, redistribute, upload, publish, share, gift, rent, lease, or otherwise make any Raw File available to another person;
  • include an Asset in a stock image library, template library, design resource pack, downloadable bundle, marketplace listing, repository, database, or similar collection;
  • offer an Asset through a website, application, generator, editor, API, plugin, or service that allows users to download, extract, customize, or recreate the Asset;
  • use an Asset as the primary or substantially sole design element of merchandise, print-on-demand products, digital downloads, templates, stickers, clip art, wallpapers, coloring pages, or similar items offered for sale;
  • claim authorship, exclusive ownership, or copyright in an Asset, whether original or modified;
  • register or attempt to register an Asset, or a design substantially derived from an Asset, as a trademark, service mark, logo, trade dress, design patent, or other exclusive right;
  • use an Asset in a logo, brand identifier, corporate identity, or trademark in a manner that suggests exclusive ownership;
  • remove, obscure, or alter copyright notices, watermarks, metadata, source information, or rights-management information;
  • use automated systems, bots, scripts, scrapers, crawlers, download managers, or similar tools to access, copy, index, harvest, or download Assets;
  • circumvent download limits, access controls, account restrictions, security systems, or technological protection measures;
  • use Assets to create or improve a competing stock-content, graphic-resource, image-generation, or digital-asset service;
  • use Assets as training data, reference data, validation data, prompts, embeddings, or inputs for artificial intelligence, machine learning, computer vision, generative models, or similar systems without prior written permission from PngHeaven;
  • use Assets in unlawful, fraudulent, defamatory, deceptive, hateful, pornographic, exploitative, or otherwise harmful content;
  • use Assets in a way that falsely suggests endorsement, sponsorship, affiliation, or approval by PngHeaven or any depicted person, company, organization, product, or brand;
  • use Assets in sensitive contexts, including political campaigning, medical claims, criminal allegations, adult content, or misleading advertising, where the use could reasonably imply that a depicted person or entity personally participates in or endorses the subject matter;
  • use the Services or Assets in violation of applicable law, regulation, court order, sanctions program, or third-party rights.

Modifying an Asset, combining it with other content, changing its color, cropping it, adding text, converting its format, or creating a derivative work does not remove these restrictions.

7. Editorial, Brand, and Third-Party Content

Some Assets may depict recognizable products, trademarks, buildings, artwork, locations, persons, or other third-party property. Unless expressly stated, PngHeaven does not grant rights in third-party trademarks, publicity rights, privacy rights, property rights, or other third-party interests.

You are responsible for determining whether additional permissions, releases, licenses, or clearances are required for your intended use.

Assets identified as editorial-use-only may be used solely for newsworthy, educational, documentary, or public-interest purposes and may not be used for advertising, promotion, merchandising, endorsement, or other commercial purposes.

8. Accounts and Account Security

You agree to provide accurate, current, and complete information and to keep your account information updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activity conducted through your account. You must notify PngHeaven promptly if you suspect unauthorized access, credential theft, or misuse.

You may not create multiple accounts to obtain duplicate free downloads, evade limits, avoid payment, circumvent enforcement, or exploit promotions.

PngHeaven may require verification, reset credentials, restrict downloads, suspend access, or terminate an account where fraud, abuse, unusual activity, account sharing, payment disputes, or violations of these Terms are suspected.

9. Prices, Payments, Taxes, and Billing

Prices, product availability, included files, license terms, subscription features, and promotional offers may change at any time before purchase.

You agree to pay all charges displayed at checkout, including applicable taxes, transaction fees, and currency-conversion costs. You are responsible for providing valid and authorized payment information.

Payments may be processed by third-party payment providers. PngHeaven does not control and is not responsible for a payment provider’s independent services, policies, interruptions, or security practices.

If a payment is reversed, charged back, disputed, rejected, or determined to be unauthorized, PngHeaven may suspend the associated License and account until the matter is resolved.

Display or pricing errors do not obligate PngHeaven to fulfill an order at an incorrect price. We may cancel and refund an affected transaction where reasonably necessary.

10. Subscriptions and Automatic Renewal

If PngHeaven offers subscriptions, the applicable billing interval, price, download allowance, renewal terms, and included benefits will be disclosed before purchase.

Unless otherwise stated at checkout, subscriptions renew automatically at the end of each billing period until canceled. By subscribing, you authorize PngHeaven and its payment providers to charge the applicable recurring fee and taxes using your selected payment method.

You may cancel renewal through the available account settings or by contacting support. Cancellation prevents future renewals but does not ordinarily provide a refund for the current billing period, except where required by law.

Unused downloads, credits, or benefits expire at the end of the applicable period unless the subscription description expressly states otherwise. They have no cash value and may not be sold or transferred.

Assets validly downloaded during an active subscription may continue to be used in completed or ongoing projects under the License applicable at the time of download. After expiration or cancellation, you may not make new downloads or use previously downloaded Assets to begin new projects unless the applicable license expressly permits such use.

11. Digital Delivery

Digital products are delivered electronically through account access, download links, email, or another method described at checkout.

You are responsible for ensuring that your device, software, storage, internet connection, and file-handling capabilities are compatible with the purchased product.

Download availability may be limited by time, subscription status, download limits, security controls, product withdrawal, or account status. You should securely retain lawful copies of downloaded files.

12. Refunds and Cancellations

Because Assets are digital products that can be accessed, copied, and retained immediately after delivery, purchases are generally final once a download, access link, or digital file has been made available or accessed.

A refund may be considered where:

  • the same product was purchased more than once due to a verified technical error;
  • the delivered file is materially defective or materially different from its product description and PngHeaven cannot provide a working replacement;
  • an unauthorized transaction is confirmed after reasonable investigation;
  • a refund is otherwise required by applicable consumer law.

A change of mind, lack of software compatibility, failure to review the product description, inability to use the Asset for a prohibited purpose, or dissatisfaction with a subjective design preference does not ordinarily qualify for a refund.

Refund requests must be submitted to support@pngheaven.com with the order number, account email, and a detailed explanation. PngHeaven may request reasonable evidence necessary to investigate the request.

Where applicable law provides a cancellation or withdrawal right for digital content, you may be asked to expressly consent to immediate delivery and acknowledge that the right may be lost once performance or downloading begins.

13. Free Assets, Promotions, and Beta Features

Free Assets, trial access, promotional credits, coupons, beta features, and limited-time offers may be changed, withdrawn, restricted, or discontinued at any time.

Unless expressly stated otherwise, free Assets remain subject to these Terms and may include additional restrictions shown on the applicable product page.

Promotions may not be combined, transferred, exchanged for cash, or used through fraudulent, automated, or duplicate accounts.

14. User Content and Communications

If you submit reviews, comments, requests, feedback, images, messages, or other materials to PngHeaven, you represent that you have the necessary rights to provide them and that they do not violate law or third-party rights.

You retain ownership of your original content. However, you grant PngHeaven a non-exclusive, worldwide, royalty-free license to host, reproduce, display, format, and use that content as reasonably necessary to operate, improve, secure, and promote the Services.

Feedback, ideas, recommendations, and suggestions may be used by PngHeaven without restriction or compensation, provided that we do not publicly identify you without permission where identification is not inherent in the submission.

PngHeaven may remove or restrict user content that violates these Terms, infringes rights, creates legal or security risk, or is otherwise inappropriate for the Services.

15. Copyright Complaints

PngHeaven respects intellectual property rights. If you believe that content available through the Services infringes your copyright, send a written notice to support@pngheaven.com containing:

  • identification of the copyrighted work claimed to have been infringed;
  • the exact URL or sufficient information identifying the allegedly infringing content;
  • your name, address, telephone number, and email address;
  • a statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
  • a statement that the information
